Rusagro Group announces the upcoming suspension of global depositary receipts trading on the Moscow Exchange and Astana International Exchange
27.11.24Moscow, 27 November 2024 – Rusagro Group (ticker on the Moscow Exchange – “AGRO”, on the Astana International Exchange – “AGRO.Y”), Russia's largest vertical agricultural holding, announces suspension of Global Depositary Receipts (GDR, ISIN US7496552057) trading on the 5th December 2024.
On the 5th September 2024 the Arbitrazh Court of the Moscow Region (the “Court”) satisfied the claim of the Ministry of Agriculture of the Russian Federation to suspend the exercise of ROS AGRO PLC corporate rights in relation to Rusagro Group PJSC. At the same time, the Court’s decision means that the Group’s shares will be distributed between the holders of GDR and beneficiaries of ROS AGRO PLC proportionally to their indirect share in the capital of Rusagro Group PJSC in accordance with the provisions of the Russian Federal law No. 470-FZ dated 4th August 2023 “On the specifics of regulating corporate relations in business entities that are economically significant organizations”.
Trading on the Moscow Exchange will be suspended in accordance with the execution by Rusagro Group of the instructions of decision of the Bank of Russia Board of Directors dated 26 April 2024 (the “Decision”). In line with the provisions of the Decision the record date of GDR holders in Russian depositaries will be set for 9 December 2024, Rusagro Group PJSC shares distribution among the specified holders will be completed by the end of 2024.
According to the Moscow Exchange press-release, the last day of operations with ROS AGRO PLC GDRs in the main trading mode “T+” is scheduled for 2 December, from 5 December 2024 GDRs trading will be completely suspended. The suspension of trading on the Astana International Exchange is synchronized with trading on the Moscow Exchange.
